Service terms

1. Who we are

PHOENIX CONSULTING & DEVELOPMENT LIMITED, Hong Kong business registration 80155881, Unit 2904-05, 29/F, Universal Trade Centre, 3 Arbuthnot Road, Central, Hong Kong ("PHOENIX", "we"). "You" are the company that signs up. You accept these terms when you create your site, or when you sign them.

2. The service

Sourcing Management on PHOENIX Cloud: your own site and database for requests, factories, quotes, orders and your client portal, in English and Chinese, with the help centre, the manual and email support. We run, update and back it up. Features may improve over time; we do not remove a feature you pay for without 30 days' notice.

3. Trial

14 days, no card. We email you 7, 3 and 1 days before it ends. Without a plan at the end your site is paused, not deleted; choose a plan and it opens again as you left it.

4. Plans and prices

The plan you choose sets your users and storage; every plan has the same features. Prices are those on our price page when you subscribe, in US dollars or Chinese yuan, excluding taxes. A subscription started at a launch price (before 6 November 2026) keeps that price for as long as it runs. We tell you any price change by email 30 days before it applies to your next billing date.

5. Payment

By card through Airwallex, every month or every year in advance, until you cancel. Invoices come from PHOENIX in Hong Kong. If a payment fails, Airwallex retries and we email you; a subscription that ends unpaid pauses your site until a plan is paid.

6. Changing plan

An upgrade starts at once and you pay the difference for the rest of the period. A downgrade starts at your next billing date and only if your site is within the smaller plan's limits.

7. Cancelling

Any time, from your site. Your plan runs to the end of the paid period; we do not refund part periods. Then your site is paused.

8. Your data

Your data is yours. We use it only to run the service for you, and we never sell it. Our staff look at it only to help you when you ask, to keep the service secure, or when the law requires it. You can export everything at any time (one file with every record as Excel and your stored files). Each client has its own database, never shared with another company. Backups are encrypted, kept off the server and deleted after 90 days.

9. Where your data is and who helps us

Your site runs on Amazon Web Services in the United States. We use: Amazon Web Services (hosting), Cloudflare (network, signup protection, encrypted backups), Airwallex (payments), Google Workspace (email) and Moonshot AI, China (to draft answers to support emails and to answer the website chat). We tell you by email 30 days before we add one.

10. Closing your account

Your site's administrator closes it from the site, signed in. We cancel the subscription; you have 30 days to export; then your site and its data are removed, and the last copy is deleted 90 days later. A site that stays paused for 90 days (no plan after the trial, or after cancelling) is removed the same way; we email you 30 and 7 days before.

11. Confidentiality

Each of us keeps the other's non-public business information confidential, uses it only for this agreement and shares it only with staff and advisers who need it and are bound to the same. This does not cover information that is public, already known, independently developed or that the law requires us to give. It lasts during the agreement and 3 years after; your data (section 8) stays confidential for as long as we hold it.

12. Fair use

You use the service lawfully, keep your passwords safe, do not attack or overload the service or try to reach another client's data, and are responsible for your users and for the data you put in. We may pause a site that threatens the service or other clients, and tell you at once.

13. Support and availability

Help centre and manual in English and Chinese; email support@phnxtech.com. On a paid plan you get a first answer within 24 hours. We work to keep the service available and announce planned work in advance where we can, but we do not promise uninterrupted service.

14. Setup service (if ordered)

We set up your brand, company, team and data from your checklist and train your team, as described on our price page, in about 5 working days from the day we have your complete checklist and files. The setup service is fully refundable until we start work; after that it is not refundable.

15. Liability

Neither of us is liable for indirect or consequential loss, or lost profit or business. Our total liability in any 12 months is limited to what you paid us in those 12 months. Nothing limits liability that the law does not allow to be limited.

16. Changes to these terms

We email you 30 days before a change. If you do not agree, you may cancel before it applies.

17. Law

Hong Kong law; the courts of Hong Kong. If the English and Chinese texts differ, the English text applies.
